Definition

Debt issue whereby the terms are negotiated directly between the issuer and the underwriter, rather than set in a bidding process among multiple underwriters. While a competitive sale may produce the lowest interest rate, the negotiated sale offers certain advantages for lower quality instruments, such as flexibility on the timing and structure of the sale.
